DRAFT. Every bracketed item is a placeholder for the legal team; the other sentences are drafts of the product's rules for legal review. Nothing in this draft is a legal statement until legal has reviewed it and the file says
status: published.
Changes in version 0.2.0 (2026-10-24): what the Services are and are not (clause 1); definitions (clause 2); campaign period (clause 4); rewards, hold period, reversals, payouts, currency, processing fee and taxes (clause 6); who bears the platform fee (clause 7); service credits, the US$10 minimum and the 7-day refund of unused paid credits (clause 11); the second domain is bffy.ink.
1. Parties and scope
These Terms are an agreement between you and [COMPANY LEGAL NAME], [REGISTERED ADDRESS] ("we", "us", "the Company"). The Company operates affy.ink and bffy.ink (together, "the Services"). These Terms apply to both Services.
What the Services are. The Services are a marketing solution: software that lets a merchant run a referral and affiliate marketing program and keep records of performance and rewards. The Services track referred clicks and sales, calculate the reward that a merchant has promised to a creator for a result, and show the records of those rewards and of their payment to the merchant and the creator.
What the Services are not. The Services are not a payment service, not an electronic payment gateway or payment processor, not an issuer of prepaid electronic payment means or of stored value, not an escrow service, not a money transmitter or money transfer service, not a settlement agent that receives and passes on money for others, and not a bank or other financial institution. The Company does not keep a wallet or a deposit of money for any user.
[LEGAL: who may accept these Terms on behalf of a business; how acceptance happens.]
2. Definitions
- Merchant / Advertiser: a business that uses the Services to run campaigns for its own products or shop and that owes the rewards of those campaigns.
- Creator (Affiliate / Influencer): a person or business that joins a merchant's campaign and promotes it, and to whom the merchant owes a reward for results.
- Agency: a business that manages creators and campaigns for merchants on bffy.ink. [LEGAL: definition]
- Client App: an application that uses the Services through the API for its own users. [LEGAL: definition]
- Referral Program (campaign): the terms a merchant sets for a promotion: the reward, the tracking period, the hold period, how creators join, who bears the platform fee, and its period.
- Commission (performance reward): the amount a merchant owes a creator for a referred sale under a campaign. The Services calculate, record and display it; the merchant owes it.
- Platform Fee: the Company's fee for the Services, a share of each commission (never a share of the sale amount).
- Payout: the record of a payment of one or more commissions to a creator.
- Service Credits: a prepaid right to use paid features of the Services, defined in clause 11.
3. Accounts
- Eligibility: [LEGAL: minimum age, business status]
- Registration and sign-in: [LEGAL: accurate information, one account per person or business]
- Account security: [LEGAL: responsibility for credentials, API keys and agent tokens]
- Organization accounts and team members: [LEGAL]
- Suspension and termination: [LEGAL]
4. Merchants and advertisers
- Creating referral programs and setting commission terms: the merchant sets the commission (a percentage of the sale or a fixed amount), the currency, the tracking period, the hold period (clause 6), how creators join and who bears the platform fee (clause 7). A change to the commission terms applies to new commissions only. [LEGAL]
- Campaign period: a campaign runs for the period its creator sets: from when the merchant publishes it until the merchant ends it. [LEGAL: once the Services let a merchant set an end date: a campaign ends on its end date, and a merchant who wants it to continue changes the end date before it passes.]
- Approving affiliates and influencers: [LEGAL]
- Accurate sale and refund reporting: the merchant reports every sale and every cancellation or refund of a referred order to the Services (through its shop plugin or the API) truthfully and on time. [LEGAL]
- Paying the rewards it owes: the merchant pays the commissions of its campaigns to its creators. The Services do not pay commissions with the merchant's service credits. [LEGAL]
- Merchant content and product claims: [LEGAL]
5. Affiliates and influencers
- Joining referral programs: creators join campaigns for free. [LEGAL]
- Promotion rules and disclosure of the affiliate relationship: [LEGAL]
- Use of merchant brand assets: [LEGAL]
- Tax information and identity verification: [LEGAL]
6. Commissions and payouts
- How a commission is earned and when it becomes payable: a commission is recorded when the merchant's shop or app reports a referred sale. It is pending during the campaign's hold period (0 to 365 days as set by the merchant, 30 days when the merchant has not set one). After the hold period ends it is approved in the next daily run, unless it is held for review (for example by a fraud or money check), in which case a person decides. Only an approved commission can be paid. [LEGAL]
- Holds, reversals and refunds: if the referred order is cancelled or refunded, in whole or in part, before the commission is paid, the commission is reduced or cancelled accordingly, and the platform fee on the removed part is not charged. Once a commission has been paid to the creator it is final: the paid commission is not refunded to the merchant and the platform fee on it is not refunded, even if the order is refunded later. [LEGAL]
- How a payout is made: the transfer of a commission is made outside the Services, by the merchant, by the creator's agency, or, where the Services show a payout as handled by the Company's staff, by the Company's staff; the Services record the payout and its status (requested, processing, completed or failed). On bffy.ink the merchant pays its creators itself and records each payment; the creator confirms that it arrived or reports that it did not. A merchant may also offer a reward as its own points or goods, which the merchant delivers in its own system. [LEGAL]
- Payout methods and minimum amounts: the payout methods and the minimum payout amount are as shown in the Services at the time of the request.
- Currency: rewards and service credits are in US dollars (USD) by default; a campaign may state another currency. Cash payouts to creators whose payout country is the Republic of Korea are made in Korean won (KRW); other cash payouts are made in US dollars. [LEGAL: exchange rate rule, to be confirmed against the product]
- Processing fee: a processing fee is deducted from each cash payout: US$15 per payout for creators outside Korea and ₩5,000 per payout for creators in Korea, or the fee shown in the Services at the time of the request if it differs. No processing fee applies to a creator who is paid by their agency. Where the Services offer it, a creator's free credits may cover part of the fee.
- Fees charged by payout providers: [LEGAL]
- Taxes: each party is responsible for its own taxes. A creator is responsible for reporting and paying the income tax on its rewards; a merchant or agency is responsible for any withholding, tax invoice or tax report that the law of its country requires when it pays a reward. Where the Services help prepare a tax document, the party that issues it remains responsible for it. Nothing in the Services is tax advice. [LEGAL]
7. Platform fee
- The Company keeps a platform fee as a share of each commission, never of the sale amount, by the merchant's plan, as set out in [LEGAL: link to the pricing page or plan terms]. A rate agreed in writing with the Company replaces the plan rate.
- Who bears the platform fee: the person who creates a campaign chooses, for that campaign, which share of the platform fee the merchant bears and which share the creator bears. By default the merchant bears 100% of the platform fee, on top of the commission, and the creator receives the whole commission. On bffy.ink the merchant always bears the whole platform fee. A change applies to new commissions only.
- How the platform fee is charged to the merchant: [LEGAL: to be completed when the product charges it]
- Changes to the platform fee: [LEGAL: notice period]

- Service credits: service credits are a prepaid right to use paid features of the Services, at the prices shown in the Services when the feature is used, such as approvals of creators beyond the number included in the merchant's plan, staff audit checks and the issuing of tax documents. Service credits are not money, have no cash value and are not a means of payment to anyone else; they cannot be exchanged for cash, cannot be transferred to another account and cannot be used to pay commissions, except for the refund below.
